These Terms of Service apply when you access the Artexture Studio website, submit an enquiry or place an order.

By purchasing a portrait, you agree to these Terms of Service together with the Refund Policy, Shipping Policy and Privacy Policy.

Nothing in these terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded, including rights under the Australian Consumer Law.

1. ABOUT ARTEXTURE STUDIO

Artexture Studio is a Melbourne-based contemporary portrait studio specialising in original hand-drawn charcoal portraits created from customer-supplied photographs.

Each portrait is individually created by hand and will contain the natural variation and expressive qualities associated with an original charcoal artwork.

Portraits are supplied unframed unless otherwise agreed in writing.

2. ELIGIBILITY AND ACCEPTANCE

You must be at least 18 years old and legally capable of entering into a contract to place an order.

If you place an order on behalf of another person or organisation, you confirm that you have authority to act on their behalf and accept these terms.

Your order is accepted when Artexture Studio issues an order confirmation or otherwise confirms acceptance in writing.

Artexture Studio may decline an order before acceptance if the requested work cannot reasonably be produced, suitable photographs have not been supplied or the request contains unlawful, abusive or inappropriate material.

3. CUSTOMER PHOTOGRAPHS

You are responsible for supplying photographs and information that are accurate and suitable for creating the commissioned portrait.

You confirm that you:

  • Own the photographs supplied or have permission from the copyright owner to use them for the commission
  • Have permission from any identifiable person shown in the photographs, or their parent or legal guardian where required
  • Are authorised to commission portraits of all people or animals included
  • Are not asking Artexture Studio to infringe another person's copyright, privacy or other rights

Artexture Studio may use the supplied photographs only as reasonably necessary to assess, develop and complete the commission, administer the order and meet legal or record-keeping obligations.

Supplying photographs for a commission does not, by itself, give Artexture Studio permission to publish them or use them for promotional purposes.

Artexture Studio may request alternative photographs or additional information where this is reasonably necessary to produce the portrait.

4. COMMISSION PROCESS

The commission process ordinarily includes:

  • Submission and assessment of customer photographs
  • Preparation of a personalised digital Artwork Reference
  • One complimentary revision to the Artwork Reference
  • Customer approval of the Artwork Reference
  • Creation of the physical charcoal portrait
  • Protective finishing, packaging and delivery

Personalised work begins when Artexture Studio starts selecting, combining, editing, composing or otherwise developing the customer's photographs into an individual Artwork Reference.

A preliminary suitability assessment of the submitted photographs does not, by itself, mean that personalised work has begun.

5. ARTWORK REFERENCE AND APPROVAL

Before the physical charcoal portrait begins, Artexture Studio will provide a personalised digital Artwork Reference showing the proposed composition and artistic direction.

One complimentary revision is included. This may cover reasonable adjustments to composition, scale, tonal balance or the selection of photographic elements.

The complimentary revision does not include:

  • A completely new concept
  • A change of subject
  • A different portrait size
  • Extensive redesign outside the original order
  • Repeated revisions after the included revision has been completed

Additional or substantial changes may require a separate quotation, additional payment and a revised completion timeframe.

You are responsible for reviewing the Artwork Reference carefully. Approval confirms your acceptance of the subjects, composition, positioning, expression, selected photographic details and general artistic direction.

Physical production will not begin until the Artwork Reference has been approved.

6. PAYMENT

Full payment is required before personalised work begins unless Artexture Studio agrees otherwise in writing.

Prices displayed on the website are in Australian dollars unless another currency is clearly stated.

Any additional subjects, revisions, special requirements or services outside the original order will be quoted separately and require customer approval before the additional work begins.

Payments are processed through the payment methods made available at checkout. Artexture Studio does not independently store complete payment-card details.

Cancellation and refund conditions are set out in the Refund Policy.

7. PRODUCTION TIME

Production estimates are provided in good faith and are not guaranteed completion dates unless Artexture Studio has confirmed a specific date in writing.

Timeframes may vary because of:

  • Portrait size or complexity
  • Number of subjects
  • Customer response and approval times
  • Additional revision requests
  • Current commission demand
  • Events outside Artexture Studio's reasonable control

Time spent waiting for photographs, information, revision instructions or Artwork Reference approval is not included in the production estimate.

If an unexpected material delay occurs, Artexture Studio will provide updated information where reasonably possible.

Customers requiring delivery by a particular date must contact Artexture Studio before purchasing.

8. ARTISTIC INTERPRETATION

Each portrait is an original hand-drawn artistic interpretation rather than a photographic reproduction.

Charcoal texture, tonal transitions, line, blending and expressive detail will naturally vary from the digital Artwork Reference.

The Artwork Reference establishes the approved composition and overall artistic direction but is not an exact representation of every mark in the completed hand-drawn artwork.

Natural artistic variation is not, by itself, a fault where the finished portrait is consistent with the agreed description and approved direction.

This does not limit your rights if the portrait has a genuine fault, major problem or is materially different from what was agreed.

9. CHANGES AFTER APPROVAL

Once the Artwork Reference is approved and physical production begins, changes to the approved composition are not included and may not be possible.

If a requested change can reasonably be accommodated, Artexture Studio will advise whether additional charges or a revised completion timeframe apply before proceeding.

A significant change of subject, photograph, size or composition may require a new commission.

Any rights relating to faulty, damaged or materially misdescribed work are addressed separately in the Refund Policy and are not limited by this section.

10. COPYRIGHT AND OWNERSHIP

Ownership of the physical artwork is separate from copyright ownership.

The customer receives ownership of the original physical portrait once full payment has been received and the artwork has been delivered.

Australian copyright rules relating to commissioned portraits can differ from the general rules applying to other artworks. The copyright position may also be changed by a written agreement between the customer and Artexture Studio.

Unless different copyright arrangements are confirmed in a separate written agreement, neither party should assume that purchasing or creating the physical artwork automatically grants unrestricted commercial reproduction rights beyond those provided by law.

Artexture Studio retains all moral rights belonging to the individual artist, including the right to be attributed as the creator and the right to object to derogatory treatment of the work, as provided by law.

Any proposed commercial use, licensing, merchandise, advertising or sale of reproductions should be discussed and agreed in writing before that use begins.

11. PORTFOLIO AND PROMOTIONAL USE

Artexture Studio will not rely solely on the customer's purchase or acceptance of these terms as permission to publicly use customer photographs or commissioned portraits for promotional purposes.

Artexture Studio may ask the customer separately for permission to photograph and display the completed artwork through its website, social media, portfolio, exhibitions, advertising or other studio materials.

Permission is optional and refusing it will not affect the price, quality or completion of the commission.

Where permission is given, Artexture Studio will use the artwork only within the scope explained when permission is requested.

A customer may withdraw permission for future promotional use by contacting Artexture Studio. Withdrawal will apply to future use where reasonably practicable, but may not enable Artexture Studio to recall material already printed, distributed or published by third parties.

Additional permission may be requested before identifying a subject by name or publishing an identifiable source photograph.

12. PRICING

Prices displayed on the website may be changed for future orders.

Any order already accepted will be honoured at the confirmed price unless the customer later requests an additional subject, revision, delivery service or other change outside the original order.

Obvious pricing, description or checkout errors may be corrected. If an error affects an order already placed, Artexture Studio will contact the customer before proceeding and offer an appropriate choice, which may include confirming the corrected price or cancelling the affected order for a full refund.

13. SHIPPING AND DELIVERY

Australia-wide standard delivery is included in the listed price of standard A4, A3 and A2 portraits.

International delivery is not included and must be quoted and confirmed before purchase.

Production, packaging, dispatch, tracking, delays, damage and lost parcels are addressed in the Shipping Policy.

Customers are responsible for providing a complete and accurate delivery address and notifying Artexture Studio promptly if it needs to be corrected.

Risk in the physical artwork passes to the customer when the artwork is delivered to the customer or another person authorised to receive it.

A carrier record does not prevent a customer from contacting Artexture Studio if the parcel was not actually received, was delivered incorrectly or arrived damaged.

14. AUSTRALIAN CONSUMER LAW

Artexture Studio's portraits come with guarantees that cannot be excluded under the Australian Consumer Law where that law applies.

Nothing in these terms excludes, restricts or modifies any right, guarantee, remedy or liability that cannot lawfully be excluded or limited.

Rights and remedies relating to cancellations, faults, major problems, damage, incorrect artwork and refunds are explained further in the Refund Policy.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Artexture Studio is not liable for loss caused solely by:

  • Inaccurate information supplied by the customer
  • The customer's lack of authority to use submitted photographs
  • An incorrect or incomplete delivery address supplied by the customer
  • Delays or failures outside Artexture Studio's reasonable control, except where Artexture Studio remains responsible under applicable law
  • Use, handling, framing, storage or display of the artwork contrary to supplied care instructions

Artexture Studio does not exclude or limit liability where doing so would be unlawful, including liability arising under non-excludable Australian Consumer Law guarantees.

Nothing in this section prevents a customer from seeking a remedy to which they are legally entitled.

16. WEBSITE CONTENT

Artexture Studio aims to keep website descriptions, prices, images and availability accurate and current.

Colours and tonal values may appear differently across screens and devices. Website images are illustrative and cannot reproduce the exact surface, scale or charcoal texture of an original physical artwork.

Website content may be updated from time to time. Changes will not retrospectively alter an order already accepted unless required by law or agreed with the customer.

The Artexture Studio website, branding, written content and non-commissioned promotional material may not be copied or commercially used without permission, except where permitted by law.

17. PRIVACY

Personal information is handled in accordance with the Artexture Studio Privacy Policy.

Customer photographs and commission information will be handled only for the purposes explained at collection, reasonably expected purposes connected with fulfilling the order, or other purposes authorised or required by law.

18. GOVERNING LAW

These terms are governed by the laws of Victoria, Australia.

The parties submit to the courts and tribunals with jurisdiction in Victoria, but nothing in this section prevents a customer from exercising any right to bring a claim in another jurisdiction where that right cannot lawfully be excluded.

19. CHANGES TO THESE TERMS

Artexture Studio may update these terms from time to time.

The terms applying to an accepted order will ordinarily be those in effect when the order was placed, unless a later change is required by law or agreed with the customer.

The date of the latest update appears at the beginning of this document.
